Terms and conditions

These terms are an English translation provided for convenience. The Dutch version at /nl/voorwaarden is the legally binding text in case of any discrepancy.

1. Applicability

These terms and conditions apply to all offers, assignments, and agreements in which Consulereit, KVK 42045431, acts as the contractor. Deviations from these terms are binding only if agreed in writing.

2. Definitions

In these terms, "Contractor" means Consulereit. "Client" means any natural or legal person who enters into an agreement with the Contractor or receives an offer for that purpose.

3. Offers and quotations

Offers and quotations are non-binding and valid for thirty (30) days from the date of issue, unless otherwise agreed in writing.

4. Rates and invoicing

Rates are exclusive of travel and accommodation expenses, unless otherwise agreed. Invoicing is based on hours actually worked, or on a fixed price agreed in writing. The payment term is fourteen (14) days from the invoice date.

5. Confidentiality

The parties will treat all information they receive from each other in the course of the assignment as confidential. For security work, additional confidentiality arrangements apply, recorded in writing in an NDA or a Rules of Engagement document.

6. Liability

The Contractor's liability is in all cases limited to the amount invoiced under the relevant assignment in the twelve (12) months preceding the event giving rise to the damage, with an absolute maximum equal to the amount paid out under the Contractor's professional liability insurance. Liability for indirect damage, consequential loss, lost profits, or missed savings is excluded.

7. Intellectual property

Reports, findings, and recommendations prepared by the Contractor in the course of the assignment become available for the Client's internal use upon full payment. Generic methods, tooling, and know-how remain the property of the Contractor.

8. Termination

Either party may terminate the agreement in writing at any time, observing a reasonable notice period. Work performed and costs incurred up to the moment of termination will be compensated.

9. Governing law and jurisdiction

These terms and all agreements to which they apply are exclusively governed by Dutch law. Disputes will be submitted to the competent court in the district in which the Contractor is established, unless mandatory law provides otherwise.
